Terms & Conditions

Welcome to TechVision. These Terms & Conditions govern your use of our website and the IT services we provide. By accessing this website or engaging our services, you agree to be bound by these terms. If you do not agree with any part of these terms, you must not use our website or services.

1. Introduction

TechVision ("we," "us," or "our") provides professional IT consulting, software development, and technology solutions. These Terms & Conditions constitute a legally binding agreement between you (the "Client" or "User") and TechVision. We reserve the right to modify these terms at any time, and it is your responsibility to review them periodically for changes.

2. Definitions

In these Terms & Conditions, unless the context otherwise requires, the following definitions apply:

  • "Agreement" refers to these Terms & Conditions, together with any specific Service Proposal or Statement of Work accepted by the Client.
  • "Client" refers to the individual, company, or entity purchasing services from TechVision.
  • "Content" refers to all text, graphics, logos, images, software, and data on the TechVision website.
  • "Services" refers to the IT consulting, development, support, and technical services provided by TechVision as outlined in a specific project proposal.

3. Services

TechVision agrees to provide the Services described in the agreed-upon Statement of Work (SOW). We shall perform the Services with reasonable care and skill in accordance with recognized industry standards. Any deviations from the scope outlined in the SOW must be approved in writing by both parties and may incur additional costs. We reserve the right to subcontract certain aspects of the Services to qualified third parties, provided we remain responsible for the delivery and quality of the Services.

3.1 Client Obligations

To enable TechVision to perform the Services effectively, the Client agrees to:

  • Provide accurate, complete, and timely information and access to systems as requested.
  • Obtain and maintain all necessary licenses, consents, and permissions required for the performance of the Services.
  • Designate a single point of contact who has the authority to make decisions regarding the project scope and approvals.
  • Ensure that their own IT systems and networks are compatible with our requirements and do not contain viruses or malware that could affect our work.

4. Fees and Payment

Fees for the Services are detailed in the specific proposal or invoice issued to the Client. Unless otherwise stated, all fees are exclusive of applicable taxes (e.g., VAT). Payment terms are strictly Net 30 days from the date of the invoice. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law.

For fixed-price projects, a deposit of 50% is required prior to the commencement of work. The remaining balance is due upon completion of the deliverables as defined in the SOW. For time and materials contracts, invoices will be issued monthly based on the hours worked and expenses incurred.

5. Intellectual Property Rights

All Content included on the TechVision website, such as text, graphics, logos, images, and software, is the property of TechVision or its content suppliers and is protected by international copyright laws. You may not modify, copy, reproduce, republish, upload, post, transmit, or distribute any Content without our prior written consent.

Regarding custom software or deliverables created specifically for the Client, Intellectual Property rights shall transfer to the Client only upon full payment of the agreed fees. TechVision retains the right to use pre-existing code, libraries, and general knowledge gained during the project for future clients.

6. Confidentiality

Both parties agree to keep confidential all information obtained from the other party during the term of this Agreement. This includes, but is not limited to, trade secrets, business plans, technical data, and customer lists. We will not disclose your confidential information to any third party except as required by law or to perform the Services. This obligation survives the termination of the Agreement.

7. Limitation of Liability

To the fullest extent permitted by applicable law, TechVision shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the website or our Services.

In no event shall TechVision's total liability to you for all claims exceed the amount paid by you for the specific Services giving rise to the claim during the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

8. Warranty and Disclaimer

The Services are provided "as is" and "as available." We do not warrant that the website will be uninterrupted, secure, or error-free, or that any defects will be corrected. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

TechVision reserves the right to terminate this Agreement and suspend access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

The Client may terminate the Agreement at any time by providing 30 days' written notice. In the event of termination by the Client, the Client shall be liable for all fees incurred for work performed up to the date of termination and any cancellation fees outlined in the SOW.

10. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Stuttgart, Germany.

11. Indemnification

You agree to indemnify, defend, and hold harmless TechVision, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use of the Services or your violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. All changes are effective immediately when we post them. Your continued use of the website following the posting of revised Terms means that you accept and agree to the changes.
